We are finalizing these Terms with our attorney. If they change, we will post the new version here with a new date.
These Terms are an agreement between LumenTakeoff, operated by Parsa Tamadon and Shervin Shahriary ("LumenTakeoff", "we") and the business that creates an account ("Customer", "you"). The person accepting confirms they have authority to bind that business. The service is for business use only, not for consumers.
Using this website
You may browse this website, join the waitlist and send us a question through it. Information on the website is general, may change, and is not an offer. Joining the waitlist does not create an account or any obligation for you or for us. The rest of these Terms applies when your business uses the LumenTakeoff app (the "Service").
1. The service
1.1 LumenTakeoff counts fixtures and devices on construction drawings with a deterministic engine, offers an optional AI review called Lumen, and builds estimates from prices and rates you enter (the "Service").
1.2 Lumen is an AI feature. It runs on a third-party AI model provided by Anthropic, PBC. LumenTakeoff did not create or train that model. Lumen's findings are suggestions: the Service shows the engine count, Lumen's count and Lumen's reason side by side, and nothing Lumen proposes changes your counts until you accept it.
2. Your responsibility for bids
2.1 The Service is a tool that assists qualified estimators. Counts, review notes and estimates may contain errors, including missed or extra items, wrong types, scope mistakes and arithmetic based on prices or rates you entered.
2.2 You are solely responsible for checking every quantity, price and assumption and for every bid, proposal, purchase or contract you make. Do not rely on the Service as the only check of a bid.
3. Accounts
You keep login details secure, are responsible for activity under your account, and tell us promptly of any unauthorized use. Each user must be a named individual.
4. Credits and payment
4.1 Actions in the Service cost credits, at the rates shown in the Service before you run them. Current rates are on the Credits page; we may change rates for future actions on 14 days' notice, never for credits already spent.
4.2 Credits are bought in packs through our payment processor. Prices exclude taxes, which you pay where applicable.
4.3 Credits do not expire while your account is open. Credits have no cash value, are not transferable between accounts, and are non-refundable, except: (a) a Lumen review that fails to complete returns its credits automatically; (b) if we end these Terms for our convenience under 12.2, we refund unused credits at the price paid; and (c) where the law requires a refund.
4.4 If a payment is reversed or disputed, we may suspend the account and remove credits bought with that payment.
5. Your data
5.1 You own the drawings, schedules, estimates and other content you upload or create ("Customer Data"). You confirm you have the right to upload it and to let us process it under these Terms, including any rights required from the project owner, architect or engineer.
5.2 You grant us a limited license to host, copy, process and display Customer Data to provide the Service, including sending sheet images to our AI provider, Anthropic, when you run a Lumen review.
5.3 We may use de-identified, aggregated data (for example counts, symbol shapes and accuracy statistics, never your drawings or project names) to measure and improve the Service.
5.4 We do not sell Customer Data and do not share it with other customers. Our Privacy Policy describes how we handle personal information.
5.5 You may export your estimates at any time while your account is open. We delete Customer Data within 60 days after account closure, except backups kept on a routine cycle and records the law requires.
6. Acceptable use
You will not: upload content you have no right to use; reverse engineer or copy the Service; use the Service to build a competing product; attempt to access other customers' data; send malicious code; use Lumen for anything other than reviewing your own takeoffs; or try to extract the underlying AI model's instructions or outputs for use outside the Service.
7. Our property
We own the Service, the software, the Lumen and LumenTakeoff names, and all improvements, including improvements from your feedback, which we may use freely. These Terms grant you a non-exclusive, non-transferable right to use the Service while your account is open, for your internal business.
8. Third-party services
The Service relies on providers including Anthropic (AI review), our payment processor and our hosting and authentication providers. Their outages are outside our control. We do not authorize you to rely on any third party's endorsement of the Service; none exists unless stated in writing.
9. Warranty disclaimer
Except as stated in these Terms, the Service is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that counts, reviews or estimates are complete or correct.
10. Limitation of liability
10.1 Neither party is liable for lost profits, lost bids, lost business, or any indirect, incidental, special, consequential or punitive damages, even if advised of their possibility.
10.2 Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
10.3 These limits apply to the extent the law allows and do not limit liability for fraud or willful misconduct.
11. Indemnity
You will defend and indemnify LumenTakeoff against third-party claims arising from Customer Data you uploaded without the necessary rights, or from bids or contracts you made using the Service.
12. Term and ending
12.1 These Terms last while you have an account. You may close your account at any time.
12.2 We may suspend or close an account for breach of these Terms, for nonpayment, or where the law requires, and we may stop offering the Service on 30 days' notice.
13. Disputes
13.1 California law governs, without regard to conflict-of-law rules.
13.2 Disputes are resolved by binding arbitration in Orange County, California, before one arbitrator under the JAMS Comprehensive Arbitration Rules, on an individual basis; class or representative proceedings are waived. Either party may bring a claim in small claims court, or seek an injunction in court to protect intellectual property or confidential information.
14. General
Changes to these Terms take effect 14 days after notice in the Service or by email; continued use after that accepts them. These Terms are the entire agreement between us on the Service, unless a signed agreement (such as a pilot agreement) says otherwise, in which case the signed agreement controls. If a provision is unenforceable, the rest remains. You may not assign these Terms without our consent; we may assign them in a merger or sale. Notices to us: sshahriary@lumentakeoff.com. Notices to you: the account email.
